By accessing or using Todoza, you agree to be bound by these Terms. If you do not agree, do not use the service.

You are responsible for:

You grant us a limited, non-exclusive right to host, store, process, reproduce, and display your content only as necessary to operate, maintain, secure, and improve Todoza and to provide the features you use.
You are responsible for ensuring that:
- you have the necessary rights to use and upload your content;
- your content does not violate applicable law or third-party rights;
- your content is accurate to the extent required for your use case.

Todoza may connect with or rely on third-party services, providers, and APIs.
Where you use integrations or connected features, you acknowledge that:
- third-party services may have their own terms and privacy policies;
- we are not responsible for third-party services themselves;
- the availability, accuracy, or continued compatibility of third-party integrations may change over time.
7. Service availability
We aim to keep Todoza available and functioning, but we do not guarantee uninterrupted or error-free operation.
The service may occasionally be unavailable due to maintenance, updates, infrastructure issues, third-party service failures, security events, or circumstances beyond our reasonable control.
We may modify, suspend, or discontinue parts of the service at any time.
8. No professional advice
Todoza is a software tool. It does not provide legal, accounting, tax, compliance, financial, or other regulated professional advice.
You are responsible for how you interpret and use information, workflows, analytics, exports, or outputs generated through the service.
9. Intellectual property
Todoza and its underlying software, design, branding, and related materials are owned by us or our licensors and are protected by applicable intellectual property laws.
These Terms do not transfer any ownership rights to you, except for the limited right to use the service in accordance with these Terms.
10. Suspension and termination
We may suspend, restrict, or terminate your access to Todoza if:
- you breach these Terms;
- we reasonably believe your use creates legal, security, or operational risk;

You may stop using Todoza at any time.
Termination or suspension does not limit any rights or remedies that accrued before termination.

Todoza is provided on an "as is" and "as available" basis.
To the maximum extent permitted by law, we disclaim all warranties, representations, and conditions not expressly set out in these Terms, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, non-infringement, and uninterrupted availability.
We do not guarantee that:
- the service will always be available, secure, or error-free;
- data will never be lost, delayed, corrupted, or incomplete;
- integrations or third-party services will remain available or compatible;
- the service will meet every specific business, operational, or technical requirement.
12. Limitation of liability
To the maximum extent permitted by law, we will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, business, goodwill, data, or opportunity arising out of or related to your use of Todoza.
Our total aggregate liability arising out of or relating to the service or these Terms will not exceed the greater of:
- the amount you paid us for Todoza in the 12 months before the event giving rise to the claim; or
- £100.
Nothing in these Terms excludes or limits liability where such exclusion or limitation is not permitted by law.
13. Indemnity
You agree to indemnify and hold harmless Todoza, its operators, and affiliates from and against claims, liabilities, damages, losses, and expenses arising out of:
- your use of the service in violation of these Terms;
- your content or data;
- your violation of applicable law or third-party rights.
14. Changes to the service
We may update, improve, modify, remove, or replace features, tools, integrations, or functionality at any time.
We are not obligated to continue any particular feature, integration, or free functionality indefinitely.
15. Changes to these Terms
We may update these Terms from time to time.
When we do, we will post the updated version and revise the "Last updated" date above. Continued use of Todoza after updated Terms become effective means you accept the revised Terms.
16. Privacy
Your use of Todoza is also subject to our Privacy Policy.
17. Governing law
These Terms are governed by the laws of England and Wales, unless mandatory law in your jurisdiction requires otherwise.
Any dispute arising out of or in connection with these Terms will be subject to the exclusive jurisdiction of the courts of England and Wales, unless applicable law provides otherwise.
